As Per FY26 and May 2026 Sustainability Report

Xero’s financial year ended on 31 March 2026, FY26 is already complete and reported.

Xero is one of the world’s leading cloud-based accounting software platforms focused on small and medium-sized businesses. The company provides accounting, payroll, payments, invoicing, expense management and financial workflow solutions across Australia, New Zealand, the UK, North America and other international markets.

What makes Xero attractive is the combination of a highly recurring subscription revenue model, strong pricing power, expanding ecosystem, and the continued digitisation of small business operations globally. Following the acquisition of Melio, Xero has further expanded its payments capability and strengthened its North American growth opportunity.

Xero’s competitive advantage stems from its position as one of the leading cloud accounting ecosystems for small and medium-sized businesses globally. The company’s platform has become deeply embedded in the daily operations of millions of businesses, creating significant switching costs and highly recurring revenue. As Xero continues to scale, its network effect strengthens through accountants, bookkeepers, third-party developers, and customers all operating within the same ecosystem. This creates a durable moat that is difficult for competitors to replicate and positions Xero to benefit from the ongoing digital transformation of small businesses worldwide.

• High switching costs due to years of accounting, payroll, tax and financial data stored on the platform.

• Strong network effect through accountants and bookkeepers who recommend and support Xero.

• Highly recurring subscription revenue providing predictable cash flow and earnings visibility.

• Expanding ecosystem including payroll, payments, invoicing, expense management and business insights.

• Significant scale advantage with FY26 revenue of NZ$2.75 billion, enabling continued investment in innovation and growth.

• Market-leading brand recognition in Australia and New Zealand’s SME accounting sector.

• Valuable proprietary financial data from millions of businesses, enhancing future AI and automation capabilities.

• Growing international presence across Australia, New Zealand, the UK and North America, providing long-term expansion opportunities.

Together, these advantages create a powerful economic moat that supports customer retention, pricing power, sustainable revenue growth and long-term shareholder value creation.

Strategic Capital Raising Fuels Xero’s US$2.5 Billion North American Expansion

Xero recently completed a significant capital raising to help fund its acquisition of Melio, a leading U.S.-based B2B payments platform. The company raised approximately A$1.85 billion (NZ$2.0 billion) through an institutional placement and entitlement offer, which formed part of the funding package for the US$2.5 billion acquisition of Melio.

The strategic rationale behind the transaction is straightforward. While Xero has built one of the world’s leading cloud accounting platforms for small businesses, payments represent a substantially larger monetisation opportunity than accounting software alone. Melio gives Xero immediate access to a large and rapidly growing U.S. payments network, allowing customers to manage accounts payable, accounts receivable and business payments directly within the Xero ecosystem.

The acquisition significantly expands Xero’s total addressable market and strengthens its position in North America, the world’s largest small business software market. Management expects Melio to accelerate revenue growth, deepen customer engagement, increase average revenue per user (ARPU), and create cross-selling opportunities across millions of existing and future customers. In simple terms, the capital raising was not undertaken to support the balance sheet or cover losses; it was used to acquire a strategic growth asset that has the potential to materially increase Xero’s long-term revenue, cash flow and earnings power. For investors, the success of this capital raising ultimately depends on Xero’s ability to integrate Melio effectively and convert its large U.S. customer base into a higher-value payments ecosystem over the coming years.

FY27 Financial Projections

✅ Revenue: NZ$3.25 billion (+18% YoY) driven by a full-year contribution from Melio, subscriber growth, payments expansion and international growth.

✅ EBITDA: NZ$920 million (+28% YoY) supported by operating leverage, increasing scale and early acquisition synergies.

✅ NPAT: NZ$240 million (+50% YoY) reflecting earnings recovery following acquisition-related costs, while incorporating financing expenses, amortisation and capital raising dilution.

✅ Operating Cash Flow: Expected to continue growing alongside EBITDA due to Xero’s highly recurring subscription model and strong cash conversion characteristics.

✅ Strategic Outlook: FY27 will be the first full financial year to benefit from the Melio acquisition, making payments growth, customer adoption and North American expansion the key drivers investors should monitor.

Technical Analysis – BGS 20 Strategy

Xero has spent the last eight months building a substantial base after suffering a correction of approximately 65% from its 2025 highs. While the long-term trend remains technically bearish with the EMA9 below the SMA40 and both below the SMA250, the character of the chart has changed significantly. Rather than continuing lower, the stock has transitioned into a prolonged accumulation phase between $68 and $80, suggesting sellers may be becoming exhausted while longer-term investors gradually build positions.

• The current price of $73.35 sits directly above a major support zone between $68 and $72 that has repeatedly attracted buyers over the past 12 months.

• The stock has successfully defended this support area multiple times, indicating strong demand and reducing the probability of a major breakdown unless market conditions deteriorate significantly.

• Volume activity remains constructive. Several of the largest volume spikes over the past year have occurred near current levels, suggesting institutional accumulation rather than widespread distribution.

• Recent pullbacks have occurred on lower momentum compared to previous declines, indicating selling pressure is weakening.

• The RSI is currently around 41 and continues to hold above a rising long-term trendline. This positive divergence suggests downside momentum is fading despite price remaining near support.

• The stock remains heavily discounted relative to its long-term moving averages, trading more than 50% below the SMA250 and approximately 65% below its previous peak. Under the BGS framework, this places XRO into a deep discount category where risk-reward can become highly attractive if a trend reversal develops.

• Resistance remains concentrated around $80, which coincides with the SMA40. A break above this level would likely signal the completion of the current base and attract fresh momentum buyers.

• Above $80, the next major resistance sits near $100, representing the BGS 20 target zone and a potential gain of approximately 35%.

• The longer-term recovery target remains around $119, which aligns with prior structural resistance and offers potential upside exceeding 60%.

• From a BGS 20 perspective, this is not yet a confirmed breakout trade. Instead, it is an accumulation setup where the objective is to establish a position near support while risk remains clearly defined.

Overall, XRO appears to be transitioning from a downtrend into a basing structure. The combination of strong support, improving volume characteristics, stabilising momentum and significant discount to historical valuations creates an attractive asymmetric opportunity. While confirmation of a new uptrend has not yet occurred, the chart is displaying many of the early technical characteristics that typically precede a major trend reversal.
